Item 5.02 Departure of Directors or Certain Officers; Election of Directors;
Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.
On October 29, 2009, George L. Chapman, Chairman, Chief Executive Officer and
President of Health Care REIT, Inc. (the "Company"), exercised his option to
extend the term of his employment agreement with the Company for an additional
year. The agreement will now expire on January 31, 2011.
The foregoing description of certain terms of the agreement does not purport to
be complete and is qualified in its entirety by reference to the full text of
the agreement, a copy of which is attached as Exhibit 10.6 to the Company's
Annual Report on Form 10-K for the year ended December 31, 2008 and is
