Item 1.01. Entry into a Material Definitive Agreement.

On October 27, 2009, CDI Corp. (sometimes referred to in this Report as "the Company") and certain of its subsidiaries executed an amendment to its credit agreement with JP Morgan Chase Bank, N.A. The amendment extends the Company's existing committed, unsecured $45 million revolving line of credit facility from November 9, 2009 until December 9, 2009.

Item 2.02. Results of Operations and Financial Condition.

On October 29, 2009, the Company issued a news release reporting the Company's financial results for its third quarter ended September 30, 2009 and announcing a quarterly cash dividend of $0.13 per share. A copy of the Company's news release is attached hereto as Exhibit 99 and is hereby incorporated by reference.
