Item 8.01. Other Events.
On August 3, 2009, Griffin Land & Nurseries, Inc., ("Registrant") issued a press
release announcing that Imperial Nurseries, Inc. ("Imperial"), Griffin's
landscape nursery business, entered into an agreement with Tri-B Nursery, Inc.
for the lease of, and grant of an option to purchase, Imperial's Florida
farm. Imperial had previously announced the closing of its Florida production
facility. Attached as Exhibit 99.1 to the Report is the Registrant's August 3,
2009 press release, which is incorporated herein by reference.
