Item 8.01 Other Events

On July 14, 2009, the board of directors of our general partner, ONEOK Partners GP, L.L.C., declared a second quarter 2009 cash distribution of $1.08 per unit, resulting in an annualized cash distribution of $4.32 per unit. The second-quarter distribution is payable on August 14, 2009, to unitholders of record as of July 31, 2009. The quarterly cash distribution remains unchanged from the previous quarter.
