Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On April 10, 2009, as previously announced on March 16, 2009, Peter M. Carlson, the Corporate Controller and Principal Accounting Officer of Wachovia Preferred Funding Corp. ("WPFC"), resigned.

Effective immediately following Mr. Carlson's resignation, WPFC appointed Richard D. Levy as its Corporate Controller and Principal Accounting Officer. Mr. Levy, 52, has served as Executive Vice President and Controller for Wells Fargo & Company ("Wells Fargo"), the ultimate parent of WPFC, since February 2007, and as Senior Vice President and Controller of Wells Fargo from September 2002 to February 2007.
