Item 7.01. Regulation FD Disclosure

As disclosed in TerreStar Corporation's Current Report on Form 8-K filed with the Securities and Exchange Commission on March 16, 2009, the company's majority owned subsidiary, TerreStar Networks Inc., had agreed with its launch service provider, Arianespace, that the launch of the TerreStar -1 (TS-1) satellite would occur on May 28, 2009. On April 8, 2009, TerreStar Networks received a letter from Arianespace delaying the launch of TS-1 until June 24, 2009 because of a delay in the launch of the satellites scheduled immediately prior to the TS-1 launch. A copy of this letter is attached as Exhibit 99.1. This exhibit is furnished, not filed, pursuant to Regulation FD.
