Appointment of Certain Officers; Compensatory Arrangements of Certain
Officers.
On March 11, 2009, Peter M. Carlson, the Corporate Controller and Principal
Accounting Officer of Wachovia Preferred Funding Corp. ("WPFC"), notified Wells
Fargo & Company ("Wells Fargo"), the ultimate parent corporation of WPFC, that
he will resign as an employee of Wells Fargo effective April 10, 2009. Prior to
his departure as an employee of Wells Fargo, Mr. Carlson will continue to serve
as WPFC's Corporate Controller and Principal Accounting Officer until his
successor is named and elected.
