Item 5.02 Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

China Tel, Inc. (the "Company") has announced that as of January 12, 2009, the Board of Directors has appointed Mr. Kenneth L. Waggoner ("Mr. Waggoner") to the position of Vice President and General Counsel of the Company.

As of January 22, 2009, Mr. Waggoner has also been elected to serve as a member of the Board of Directors of the Company until the next annual shareholders meeting.
